Kovrra is a product of Kiuni Inc., a Canadian company with operations in the United States (collectively, "Kovrra," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Kovrra Platform.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

These Terms apply to the Kovrra websites and products listed below, our related web and mobile applications, and any hardware, software, or services we provide in connection with them. They work alongside our Privacy Policy, Client agreements, and applicable laws in Canada and the United States.

Covered websites and products

These Terms of Service apply to all of the following Kovrra properties, including their subpages, APIs, and related mobile apps. Using any of them means you accept these Terms.

kovrra.com

kovrra.com is the public marketing website for the Kovrra Platform. It describes Kovrra products, company information, and how to request a demo or contact Kiuni Inc. It is not an operational login portal. These Terms still apply when you browse this site, submit a contact or demo request, or follow links from it into other Kovrra products.

jobs.kovrra.com — Kovrra Talent

jobs.kovrra.com is Kovrra Talent, the recruiting and onboarding system. Employers use it to post jobs, manage requisitions and candidate pipelines, schedule interviews and orientation, send offers, and run new-hire onboarding (including documents, credentials, and New Employee Orientation). Job seekers and new hires use the careers portal and the Kovrra Talent mobile app to apply, view status, sign documents, and complete onboarding tasks. Content you submit (résumés, applications, messages, e-signatures, and onboarding forms) is processed to support hiring and is shared with the employer organization you apply to or join, as described in our Privacy Policy.

learn.kovrra.com — Kovrra Learn

learn.kovrra.com is Kovrra Learn, the learning management system. Authorized users take assigned courses, tests, and certifications; complete in-class sessions (including New Employee Orientation and other academy classes); and track completion. Administrators and trainers publish courses, class sessions, attendance, and assignments. Training records may be shared with your employer and used for site-readiness, compliance, and onboarding. You may only access courses and sessions you are authorized to use.

sales.kovrra.com — Kovrra Sales

sales.kovrra.com is Kovrra Sales, the sales and commercial workspace. Authorized staff use it for sales activity such as prospecting, CRM tasks, proposals, and related marketing or client-facing tools operated on this domain. It is an internal/business tool for the Client organization, not a public job board. You may only use Sales features your employer grants you. Client and prospect information you enter is business data of the Client and must be used only for legitimate sales and operational purposes.

meet.kovrra.com — Kovrra Meet

meet.kovrra.com is Kovrra Meet, the video meeting service used for interviews, orientation, internal meetings, and other scheduled calls on the Platform. Meeting links, calendars, recordings (if enabled by the organizer or Client), and participant details are processed to run those meetings. You must not share meeting links with unauthorized people, record a session unless you are permitted to do so, or use Meet to harass others or disrupt operations. Meet may integrate with calendar and recruiting tools (for example Kovrra Talent interview scheduling).

scrum.kovrra.com — Kovrra Scrum

scrum.kovrra.com is Kovrra Scrum, the work-tracking and meeting-follow-up workspace. Authorized users capture action items, notes, and progress related to internal meetings and delivery work. Content in Scrum (including notes generated from meetings) is Client work product. You must not post confidential Client data into Scrum unless you are authorized, and you must not use it to store information unrelated to your work on the Platform.

tickets.kovrra.com — Kovrra Tickets

tickets.kovrra.com is Kovrra Tickets, the support helpdesk. Clients and authorized users open, comment on, and track support tickets about Kovrra products. Service accounts respond, request verification, and close work through this site. Ticket content (descriptions, replies, and attachments) is used to diagnose and fix issues. Do not submit passwords, payment card numbers, or other secrets in tickets unless a support agent specifically asks for a secure alternative. False, abusive, or duplicate tickets that interfere with support operations are a prohibited use of the Platform.

These Terms also apply to Kovrra mobile apps, including Kovrra Talent (candidate app), Kovrra Worx (staff app), and Kovrra Lead (admin app), and to other Kovrra domains we operate for the same Platform (for example Lead and Worx web portals).

A Client agreement may add product-specific terms. If there is a conflict, the Client agreement controls for that Client's paid subscription; these Terms still apply to your use of the sites and apps listed above.

1. Acceptance of Terms

By creating an account, visiting a Kovrra website listed above, downloading our mobile apps, or using any Kovrra services, you agree to:

Comply with these Terms of Service
Our Privacy Policy (available at kovrra.com/privacy-policy)
All applicable laws and regulations
Any additional terms provided by your employer or organization (if applicable)

2. Definitions

"Platform" means kovrra.com, jobs.kovrra.com, learn.kovrra.com, sales.kovrra.com, meet.kovrra.com, scrum.kovrra.com, tickets.kovrra.com, related Kovrra web applications (including Lead and Worx portals), mobile apps (Kovrra Talent, Kovrra Worx, and Kovrra Lead), and all related services
"Client" means the organization (e.g., security company) that has contracted with Kiuni Inc. to use Kovrra
"End User" or "You" means individuals using the Platform (employees, staff, administrators, candidates, recruiters, or other authorized users)
"We," "Us," "Our" means Kiuni Inc.

3. Eligibility

You must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Be authorized by your employer to use the Platform (if accessing through an organization)
Provide accurate and complete registration information

4. User License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the Platform for its intended business purposes
Download and use our mobile applications on devices you own or control

You may NOT:

Copy, modify, distribute, sell, or lease any part of the Platform
Reverse engineer, decompile, or attempt to extract source code
Remove or alter any proprietary notices or labels
Use the Platform for any illegal or unauthorized purpose
Share your account credentials with others

⚠️ Location Data Collection - IMPORTANT

Kovrra Worx collects location data to enable GPS-verified clock in/out, shift verification, and real-time location tracking even when the app is closed or not in use.

By using Kovrra Worx, you consent to:

Collection of your precise location data during scheduled work shifts
Background location tracking when the app is not actively in use
Sharing of location data with your employer/Client organization
Use of location data for shift verification, attendance tracking, and payroll purposes

You can disable location services in your device settings, but this will prevent you from using core features including clock in/out and shift verification, which may affect your ability to work through the Platform.

5. Account Registration & Security

5.1 Account Creation

To use certain features, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information
Keep your password confidential
Notify us immediately of any unauthorized access

5.2 Employer Access

If you are using KOVRRA through your employer:

Your employer (Client) created and owns your account
Your employer has access to all data generated through your use of the Platform
Your employer may monitor, review, and export your data
Your employer may suspend or terminate your account at any time
Your employment relationship is separate from these Terms

6. Apple & Google Play Terms

6.1 Third-Party Beneficiary

For users who download our mobile apps through the Apple App Store or Google Play Store:

These Terms are between you and Kiuni Inc., not Apple Inc. or Google LLC
Apple and Google are third-party beneficiaries of these Terms and may enforce them
Kiuni Inc., not Apple or Google, is solely responsible for the Platform and its content

6.2 Apple-Specific Terms

If you download our app from the Apple App Store, you acknowledge that:

Your license is limited to a non-transferable license to use the app on Apple-branded products you own or control
Apple has no obligation to provide maintenance or support services
Apple is not responsible for addressing any claims relating to the app
In the event of any third-party claim that the app infringes intellectual property rights, Kiuni Inc. (not Apple) is responsible for investigation and defense

6.3 Google Play-Specific Terms

If you download our app from Google Play:

You may use the app on Android devices that you own or control
Google is not responsible for the app or its content
Google has no obligation or liability related to the app

7. Permitted & Prohibited Uses

7.1 Permitted Uses

You may use the Platform to:

Access the Kovrra websites and products listed in these Terms for their intended business purposes
Apply for jobs, complete onboarding, and communicate with recruiters through Kovrra Talent
Complete assigned training and class sessions in Kovrra Learn
Use Kovrra Meet, Scrum, Tickets, and Sales tools you are authorized to access
Clock in/out for scheduled shifts, view your work schedule, and submit work reports (Kovrra Worx / Lead)
Communicate with supervisors, colleagues, and support staff as permitted by your role

7.2 Prohibited Uses

You may NOT:

Use the Platform for personal or non-work purposes
Share account credentials or allow others to use your account
Falsify clock in/out times or locations (including GPS spoofing)
Submit false reports or documentation
Harass, threaten, or harm other users
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to systems or data
Scrape, data mine, or extract data from the Platform
Interfere with or disrupt the Platform's operation

8. Data Ownership & Usage

8.1 Your Data

You retain ownership of any content you submit (messages, reports, photos). However, you grant us and your employer a worldwide, royalty-free license to use, store, and process this content to provide the service.

8.2 Employer Data Rights

Your employer owns:

All shift and attendance data
Location data collected during work
Reports and work documentation
Communications related to work

8.3 Our Intellectual Property

All Platform software, design, trademarks, logos, and content are owned by Kiuni Inc. and protected by copyright, trademark, and other intellectual property laws.

9. Payments & Subscriptions

(If your organization has a paid subscription)

Clients are billed according to their subscription plan
End users typically do not pay to use the Platform (paid by employer)
Fees are non-refundable except as required by law
We reserve the right to change pricing with 30 days' notice

10. Privacy & Data Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key Points:

We collect location data, shift data, and usage information
Your employer has access to your work-related data
We comply with PIPEDA (Canada), CCPA (California), and other applicable laws
We do NOT sell your personal information

11. Disclaimers & Warranties

11.1 "AS IS" Service

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement
Warranties that the service will be uninterrupted, secure, or error-free
Warranties regarding accuracy, reliability, or completeness of data

11.2 GPS Accuracy

GPS location data may not always be 100% accurate due to device limitations, signal interference, or environmental factors. We are not responsible for GPS inaccuracies.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Kiuni Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability shall not exceed the amount paid by your employer for the service in the 12 months prior to the claim
We are not liable for loss of profits, revenue, data, or business opportunities
We are not responsible for third-party actions, including your employer's decisions

13. Indemnification

You agree to indemnify and hold harmless Kiuni Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

Your violation of these Terms
Your use or misuse of the Platform
Your violation of any law or regulation
Your infringement of any third-party rights

14. Termination

14.1 By Us

We may suspend or terminate your access to the Platform:

If you violate these Terms
If your employer terminates their subscription
If required by law or court order
If you engage in fraudulent or illegal activity
At any time, with or without cause, with 30 days' notice

14.2 By Your Employer

Your employer may terminate your account at any time, for any reason, including termination of employment.

14.3 Effect of Termination

Upon termination:

Your license to use the Platform ends immediately
You must uninstall all mobile apps
Your employer retains access to all work-related data
Provisions regarding liability, indemnification, and disputes survive termination

15. Modifications to Terms

We may update these Terms at any time. We will notify you of material changes by:

Posting the updated Terms with a new "Last Updated" date
Sending notice via email or in-app notification

Continued use of the Platform after changes constitutes acceptance of the new Terms.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes shall be resolved in the courts of Ontario, Canada. You consent to the exclusive jurisdiction of these courts.

16.3 Arbitration (Optional)

For disputes under $10,000 CAD, we encourage informal resolution by contacting our support team first. If unresolved, parties may pursue binding arbitration in Ontario.

17. Geographic Restrictions

KOVRRA is intended for use in Canada and the United States only. We make no representation that the Platform is appropriate or available for use in other locations. Accessing the Platform from jurisdictions where its content is illegal is prohibited.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kiuni Inc. regarding the Platform, and supersede all prior agreements and understandings.

20. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
